Applicability

This Agreement applies to both individual and corporate users who subscribe to the 3Chat.ai and New Core Cloud products developed and operated by Shanghai New Core Technology Co., Ltd. (hereinafter referred to as “New Core” or the “Company”). When a subscriber clicks “I have read and agree” or its equivalent during the subscription/payment process, they are deemed to have signed this Agreement and are bound by all its terms.

Service Description

1. The Subscription Services under this Agreement refer to the 3Chat.ai and New Core Cloud products, as well as their associated technical support services provided by New Core. These services include, but are not limited to, authorizing the subscriber to use the various functional modules of 3Chat.ai and New Core Cloud through their account. The Company reserves the right to upgrade or modify service features or forms, and will notify users in a timely manner.

2. Subscribers acknowledge and agree that usage of the Services requires personal equipment with Internet access (e.g., computers, mobile devices) and payment of related network fees; any such equipment or network expenses beyond the Subscription Service are the subscriber’s responsibility.

Payment & Renewal

1. Subscription Fees: Subscribers shall pay the fees displayed on the official purchase page, denominated in RMB. Subscription tiers, durations, and prices are subject to the official purchase page.

2. Payment Methods: Subscribers may complete payment via third-party channels (e.g., Alipay, WeChat Pay) or other methods approved by New Core. The Service will commence immediately upon successful payment.

3. Auto-Renewal: Unless cancelled by the subscriber, the Service may automatically renew at the end of the subscription period. Prior to renewal, New Core will prominently notify the subscriber and obtain explicit consent before charging renewal fees. Subscribers may disable auto-renewal at any time via their account or by contacting customer support. Upon successful renewal, the Service term will extend for the same duration as before.

4. Renewal Reminder: In accordance with the Implementation Regulations of the Consumer Rights Protection Law, New Core will send a renewal notification before the subscription expires, ensuring subscriber awareness and choice.

Cancellation & Refund

1. Refund Policy: Subscription Services are digital content. Once a subscriber purchases and activates the Service via official channels, no refund is allowed unless otherwise required by law or mutually agreed.

2. Service Failures: If New Core fails to deliver Services as promised, resulting in unusability, the subscriber may request a refund or compensation. Valid claims will be handled in accordance with separate agreements or applicable law.

3. User-Initiated Cancellation: Subscribers may cancel auto-renewal or unsubscribe via support, but paid fees for the current period are non-refundable. The subscriber may continue using the Service until the end of the paid term; Service stops upon expiry.

Accounts & Security

1. Registration Accuracy: Subscribers must provide truthful, complete, and valid personal or corporate identity information during registration and are legally responsible for its accuracy. New Core reserves the right to verify registration information and reject applications shown to be false or illegal.

2. Account Security: Subscribers agree to safeguard their account, password, and verification devices (e.g., phone/email), and not share or transfer them. Subscribers bear sole responsibility for losses resulting from misuse. If unauthorized use is detected, they must notify New Core promptly. Until verification is complete, account activity may be presumed to be by the subscriber.

3. Data Ownership: All data produced through account usage—including login, operational, and generated content—is owned by New Core. In disputes, system-recorded data is definitive. Per New Core’s Privacy Policy and applicable law, user data may be deleted or anonymized after Service termination.

Intellectual Property Rights

1. Ownership: New Core retains all intellectual property rights related to the 3Chat.ai and New Core Cloud products and services, including texts, images, software, source code, trademarks, and patents.

2. License: Subscribers are granted a limited, non-exclusive license to use the Services as defined herein. Any unauthorized copying, modifying, distributing, or commercial use is prohibited.

3. Infringement Claims: If third parties claim subscriber content infringes rights, New Core may remove such content without consent, and the subscriber shall bear all related legal responsibility.

Privacy & Data Protection

1. Compliance: New Core will handle personal data in accordance with its Privacy Policy and PRC laws, including the Personal Information Protection Law and Data Security Law. Subscription indicates consent to such processing. Subscribers may update or delete personal information provided it does not impede service usage.

2. User Obligation: Subscribers must not upload sensitive private information such as passwords or financial data. Any related loss is the subscriber’s responsibility. New Core may be required by law or court order to disclose subscriber information without prior notice.

3. Data Retention: Unless required by law or requested by the user, New Core retains data for service improvement or compliance and may delete or anonymize it as needed.

Service Changes, Termination & Force Majeure

1. Service Modifications: New Core may upgrade or modify Services as business needs dictate. Changes will be communicated via in-app notifications, with no need for separate consent.

2. Service Suspension/Termination: The Company may suspend or terminate Services without liability in any of the following events: scheduled maintenance, network failures, emergencies affecting safety, legal orders, force majeure, or third-party interference.

3. Breach of Agreement: In cases of serious violation, New Core may suspend or terminate Services, remove content, lock accounts, and delete virtual assets without liability. Subscribers must compensate New Core for all losses (including attorneys’ fees, litigation costs, arbitration fees, asset preservation expenses, and all costs of rights enforcement).

4. Termination by Subscriber: Subscribers may cancel subscription at any time through self-service or support. Accounts will be deactivated upon termination; no refund is provided for remaining term. If New Core discontinues operation, it will notify users in advance, and subscribers must manage their accounts accordingly.

5. Force Majeure: New Core bears no responsibility for Service interruptions or data loss caused by force majeure events, including but not limited to natural disasters, regulatory changes, telecommunications failures, computer viruses, or hacking.

Limitation of Liability

Except as required by law, New Core LIABILITY DOES NOT INCLUDE LOSS ARISING FROM:

• Subscriber’s network environment, device failure, or misuse

• Third-party disruptions or security incidents

• User-uploaded content accuracy or legality

• Disclosures required by law

Electronic Consent & Effectiveness

By clicking “I Agree” on the subscription page after reading this Agreement, you confirm your consent and agree to be bound by all terms herein. Such click action constitutes an electronic signature under the PRC Electronic Signature Law, with the same effect as a written signature  . This Agreement takes effect immediately upon your consent.

Governing Law & Dispute Resolution

This Agreement is governed by the laws of the People’s Republic of China (excluding conflict-of-law provisions). Any dispute shall first seek amicable resolution. Failing that, either party may bring a lawsuit in the court where New Core is domiciled.

Appendix

This Subscription Agreement incorporates and is inseparable from the User Service Agreement and Privacy Policy. Upon subscription, you acknowledge and agree to the terms of all.

If any clause conflicts with applicable law, the latter shall prevail while remaining provisions continue in effect.

The Agreement is automatically effective upon your click consent and constitutes a complete subscription contract between you and New Core.
