3Chat.ai — Terms of Service

Welcome to 3Chat.ai!

These Terms of Service (“Terms”) are entered into between you (“Customer” or “you”) and NEW CORE TECH CO., PTE. LTD.(“3Chat”, “we”, “our”, or “us”) and govern your access to and use of the 3Chat SaaS platform, products, and related services. By clicking “I Agree” or using the Services, you acknowledge that you have read, understood and agreed to be bound by these Terms and our Privacy Policy and other applicable service documents. If you act on behalf of a company or organization, you represent that you are authorized to bind that entity。

1. Services

  • 3Chat provides AI-powered customer service SaaS, which may include subscription plans, implementation services, and optional custom development.

  • Specific features, quotas and limits for subscription plans are as shown on the purchase page and confirmed in the order; scope and acceptance criteria for implementation or custom development are defined in the applicable Statement of Work (SOW) or order.

  • You may not sublicense, resell, transfer, or share access without our prior written consent.

2. Subscription, Pricing and Payment

  • Pricing and Tax Treatment: Prices displayed on the website, quotations, or order documents are inclusive of applicable taxes (i.e., tax-inclusive unless otherwise stated). Invoicing and VAT rates will be applied at the time of invoicing; changes to tax law will be reflected in the invoice tax rate, but the contract total remains as agreed in the order/contract.

  • Currency & Payment: Orders are by default denominated in RMB. Payment methods include supported online payment channels or corporate bank transfer as indicated in the order.

  • Refunds: Except as required by law or otherwise agreed in writing, paid subscription and service fees are generally non-refundable.

  • Invoices: We will issue electronic VAT invoices (digital invoices) in accordance with the order information and tax regulations, and send them to the email address provided in the order or system settings.

3. Renewal & End of Service

  • Renewal Notification: We will notify customers prior to subscription expiry (commonly when remaining term is less than 30 days).

  • Default Behavior: Unless you explicitly opt in to automatic renewal in the purchase or account settings, subscriptions do not automatically renew by default; services will be closed at expiry. If you opt in to automatic renewal, the system will clearly notify you and provide an option to cancel.

  • Data Retention after Termination: After subscription expiry, we will retain customer data for a reasonable period (commonly up to 30 calendar days) to allow migration; after that period data may be deleted or transferred to paid storage services.

4. Data and Privacy

  • Customer Data remains owned by the customer. We process Customer Data solely to provide the Services and in accordance with our Privacy Policy and applicable laws.

  • We may disclose customer information to comply with legal or governmental requests.

  • We implement reasonable technical and organizational measures to protect data and provide backup and recovery as applicable. Liability for third-party service provider failures is subject to contract terms.

5. Intellectual Property

  • All intellectual property rights in the Services, software, and documentation remain with 3Chat. Customers receive a limited, non-exclusive, non-transferable license during the subscription term.

  • Customers warrant they have rights to any content uploaded into the service and grant 3Chat a license to use such content for providing the Service as set out in applicable agreements.

6. Service Availability & Support

  • 3Chat will use commercially reasonable efforts to maintain service availability, but no specific numeric SLA (e.g., exact uptime percentage) is promised in these Terms unless a separate SLA or service addendum is agreed in writing.

  • Support levels and response times depend on the subscription plan and are defined in the applicable service documents.

7. Termination and Suspension

  • These Terms remain in effect while your subscription is active. 3Chat may suspend or terminate access in case of material breach. Termination does not relieve you of obligations to pay amounts due. Treatment of pre-paid fees on termination shall follow the order or applicable law.

8. Liability and Disclaimer

  • Services are provided “as is.” To the maximum extent permitted by law, 3Chat’s liability for direct damages is limited to the fees paid by you in the 12 months prior to the claim (or as otherwise agreed in the order). 3Chat is not liable for indirect, special, incidental or consequential damages.

9. Confidentiality

Both parties shall keep confidential any non-public information obtained in connection with the Services and shall not disclose such information except as required for providing the Services or as required by law.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the People’s Republic of China. Disputes should first be resolved through amicable negotiation. If not resolved, disputes may be brought to the competent People’s Court at 3Chat’s domicile (or as otherwise agreed).

11. Miscellaneous

  • These Terms together with the Privacy Policy, Subscription Agreement, Service Agreement and any executed Order(s) constitute the entire agreement between the parties with respect to the Services. In case of conflict, the order or mutually executed agreement shall prevail.

  • 3Chat may update these Terms from time to time. Continued use after changes constitutes acceptance.
